1. Definitions

"Platform" means the Maibit website (https://maibit.com) and/or related applications, serving as a central marketplace for buying and selling game accounts and in-game items.

"Company" or "we" means [Pending registration — legal entity name], the operator of the Maibit Platform.

"User" means buyers and sellers who use the Platform.

"Seller" means a User who lists and delivers items through the Platform.

"Buyer" or "you" means a User who agrees to purchase and receive items through the Platform.

"Item" means a game account, in-game item, in-game currency, or any other item listed on the Platform.

"Listing" means the item page created by a Seller to offer an item for sale, together with its details and price.

"Order" means a purchase created when a Buyer pays for an item, forming a sale relationship between the Buyer and the Seller.

"Escrow System" means the system by which the Company holds the Buyer's payment and releases it to the Seller only once delivery is successfully completed under the stated conditions.

"Wallet" means the User's balance held on the Platform, used to pay for items, receive sale proceeds, and make withdrawals.

"Chat" means the in-Platform communication channel between Buyer and Seller relating to an Order.

"Fees" means the buyer fee, seller commission, and any other fees charged by the Company as specified.

"Personal Data" means information about an identifiable natural person, whether directly or indirectly, under the Personal Data Protection Act B.E. 2562 (PDPA).

2. General Terms & Acceptance

These Terms & Conditions of Service (the "Terms") constitute an agreement between you and the Company, setting out the rights, duties, and responsibilities of each party throughout your use of the Platform.

By registering for or using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms, including the Privacy Policy, Refund Policy, and any related policies that form part of these Terms. If you do not accept them, you may not use the Platform.

Where amendments are made, the Company will publish the updated Terms on the Platform and notify Users. Continued use after such publication constitutes acceptance of the revised Terms.

You warrant that you will not engage in any conduct that violates the law, public order, or good morals through the Platform.

3. Nature & Scope of Service

Maibit acts solely as an intermediary providing the space and tools for Buyers and Sellers to transact with each other, together with an escrow system to reduce transaction risk.

The Company is not the owner or seller of, and does not warrant the quality, accuracy, safety, or ownership of, any item listed on the Platform. The contract of sale is formed directly between the Buyer and the Seller; the Company is not a party to that sale.

4. Licence to Use the Service

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, and revocable (with or without cause) right to access and use the Platform.

You agree not to copy, modify, reverse engineer, disassemble, or attempt to derive the source code of the Platform; not to interfere with or disrupt its operation; not to use bots, spiders, or automated tools to scrape data; and not to use the Platform to create or promote any product or service that competes with the Company.

5. Registration & User Accounts

Users must be natural persons aged at least 18 years, or have lawful guardian consent.

You represent and warrant that the information provided at registration is accurate, complete, current, and not false. If the Company finds the information to be inaccurate or incomplete, it may suspend, restrict, or terminate your account.

You are responsible for keeping your password and login credentials confidential, and for all activity carried out under your account.

Each person should hold only one account. Creating duplicate accounts to evade suspension, commit fraud, or abuse promotions is prohibited. Selling or transferring a user account to another person is likewise prohibited.

By registering and accepting these Terms, you agree to receive news, updates, and marketing communications from the Company through various channels. You may opt out of marketing communications at any time.

6. Identity Verification (KYC)

For security and legal compliance, Users must complete identity verification (KYC) with official documents before their first withdrawal. The bank account name used for withdrawal must match the verified identity.

The Company may verify account ownership at any time during your use of the Platform, and may request evidence such as a national ID card, bank passbook, passport, or other documents as requested.

All verification documents are stored securely and processed in accordance with the Company's Privacy Policy. Forging verification documents is a serious offense and may result in legal action.

7. Listings & Prohibited Items

Sellers agree and warrant that they will only list items they lawfully own and have the right to transfer, and will provide accurate, complete, and non-misleading item information.

The following items must not be listed:

• Accounts or items obtained through fraud, such as hacked, stolen, or fraudulently acquired accounts
• Items that infringe the intellectual property of others
• Illegal items, or items related to unlawful gambling
• Items deemed by the Company to be inappropriate or high-risk

The Company reserves the right to remove, unpublish, or block any listing reasonably suspected of violating these Terms, without prior notice.

8. Orders & the Escrow System

When a Buyer pays for an item, the system creates an Order and the payment is held in escrow, not released to the Seller immediately.

The Seller must deliver the item as agreed within a reasonable time. Once the Buyer confirms receipt (or the auto-confirmation period lapses with no dispute opened), the payment, less fees, is released to the Seller's pending balance.

Funds released to the Seller are held for an additional period (the "hold period") of 3 days before withdrawal is permitted, to allow for any retrospective disputes.

If the Buyer does not pay within the specified time, the system cancels the Order automatically.

Throughout an Order, Users may communicate via the Platform's Chat to request information or deliver items. Users agree not to exchange personal data to contact or deliver items off the Platform.

9. Wallet, Payments & Withdrawals

Users may top up their Wallet through payment channels provided by the Company, such as PromptPay, TrueMoney Wallet, Mobile Banking, and others. Payments are processed through licensed third-party payment gateways; the Company does not store your card data directly.

The Wallet balance is used to pay for items, receive sale proceeds, and withdraw to the User's bank account. Withdrawals require completed KYC under Section 5.

To enable withdrawals, Users must provide accurate bank account details. Where a Wallet balance remains dormant for more than 12 months, the Company may contact the User to arrange a refund or take other action as required by law.

Withdrawals may be processed on the Company's schedule and may be subject to additional checks where fraud is reasonably suspected.

10. Fees

The Platform charges the following transaction fees:

• Buyer fee: 5% of the item price (added to the price), minimum THB 5 per transaction
• Seller commission: 8% of the item price (deducted from the Seller's proceeds) — no minimum
• Minimum listing price: THB 5

Minimum charge via external payment channels: The payment provider imposes a minimum charge of THB 20 per transaction. Where the order total is below this minimum, the system charges the minimum amount and the difference is automatically credited to the Buyer's wallet immediately, usable for other purchases or withdrawable under the withdrawal terms. The charged amount and the difference are clearly displayed before payment.

All fees are clearly displayed before a transaction is confirmed. Fee rates may change, with advance notice via the Platform; continued use after such notice constitutes acceptance of the revised rates.

Fees and charges exclude any taxes or other charges that Users are legally responsible for.

11. Seller Obligations & Warranties

• List only items lawfully owned and with the right to transfer
• Provide accurate, complete, non-misleading item information
• Deliver items as described within a reasonable time after payment
• Not recall a sold account, change its password to reclaim it, or attempt account recovery after sale
• Cooperate in dispute resolution and provide relevant evidence
• Be responsible for their own tax obligations under the law

12. No Account Reclaim After Sale

Sellers agree and warrant that, once a sale is complete, they will not take any action to reclaim or take back a sold account, including but not limited to:

• Reporting the account as stolen or hacked to the game developer or publisher in order to have it returned to the seller
• Using the original email or recovery information to change the password or repossess the account
• Initiating account recovery through any channel after the sale

13. Buyer Obligations & Warranties

• Review item details thoroughly before paying
• Confirm receipt once the item is received complete and correct
• Not confirm receipt before actually receiving the item, and not confirm or open disputes fraudulently
• Open a dispute within the specified time if there is a problem, with relevant evidence
• Not initiate a chargeback or seek a refund directly from the payment provider where the item has already been received

14. Buyer's Duty to Secure the Account

To prevent reclaim by the seller, buyers must secure the received account immediately after delivery, including:

• Changing the password and the email linked to the account
• Enabling two-factor authentication (2FA) and updating recovery information
• Removing the seller's original payment methods from the account
• Verifying that all items match the listing

The hold period under the Escrow section exists to give buyers time to do this and inspect the account. Where a buyer neglects to secure the account and this leads to a reclaim, the buyer may be restricted from claiming damages.

15. Off-Platform Transactions Prohibited

Users agree and warrant that all sale transactions and payments will be conducted solely through the Platform, and will not engage in any conduct including but not limited to:

• Inducing or encouraging contact or transactions off the Platform
• Delivering items or receiving payment through other channels
• Paying only part through the Platform and the remainder off-platform
• Any conduct intended to evade fees or the escrow system

Off-platform transactions are not protected by the escrow system, and Users bear all related risk themselves. Where the Company finds or reasonably believes such conduct, it may suspend, restrict, or terminate the account and claim resulting damages.

16. No Chargeback Fraud

Where a buyer has received the item in full, the buyer agrees not to initiate a chargeback or seek a refund from the card provider or bank by claiming they did not make the transaction or did not receive the item.

A false or fraudulent chargeback is misconduct and may constitute a criminal offense. For this purpose, the Company retains evidence relating to the transaction, including but not limited to IP addresses, login logs, delivery history, and Chat messages, to dispute and resolve such claims.

Where the Company finds a fraudulent chargeback, it may claw back funds from the buyer, suspend the account, and pursue legal action.

17. Reviews & Seller Ratings

Buyers who have received items may rate and review Sellers to help other Buyers decide. Reviews must be factual, courteous, and must not infringe the rights of others.

The Company reserves the right to inspect, edit, suspend, or remove reviews that violate these Terms, are made in bad faith, or contain inappropriate content. Sellers may not negotiate or pressure Buyers into favorable reviews in exchange for delivery.

18. Disputes & Refunds

If a problem arises in a transaction, Users may open a dispute through the Platform. The Company encourages Users to negotiate via Chat first; if no agreement is reached, the Company will mediate and decide based on evidence from both sides at its fair discretion. See the Refund & Dispute Policy for details.

To enable fair and accurate mediation, Users agree and consent to the Company accessing, reviewing, and using information appearing in the relevant Chat, Order, and payment records for dispute resolution purposes.

The Company's decision in resolving a dispute is final within the Platform. The Company acts only as a service provider and mediator, and is not a party to the sale.

19. Freezing Funds During Legal Investigation

Where a disputed transaction involves an investigation by police, government, or regulatory authorities, or a legal order, or a third-party claim regarding the disputed funds, the Company may, at its discretion:

• Freeze and hold the funds related to the disputed transaction for a minimum of one year, unless the dispute is resolved earlier
• Return or pay part or all of the disputed funds to the buyer and/or seller at the Company's reasonable discretion after the investigation concludes

This is intended to prevent erroneous payment while the facts remain unresolved. Users agree to cooperate and follow the Company's instructions.

20. Prohibited Conduct

The Platform may not be used to:

• Trade illegal items, fraudulently obtained items, or items infringing intellectual property
• Launder money, commit fraud, or carry out unlawful financial activity
• Engage in phishing, spam, deception, or harassment of others
• Harass, threaten, use abusive language, defame, or insult other Users or staff
• Use bots, scripts, or exploits to take advantage of the system
• Attempt to access other Users' accounts or devices without authorization
• Commit offenses under the Computer Crime Act B.E. 2550
• Self-deal or create fake transactions to gain from promotions

Violations may result in account suspension, forfeiture of funds connected to the fraud, and legal action.

21. Suspension & Termination

The Company may take action against accounts that violate these Terms, including temporary or permanent suspension, account deletion, blacklisting, restricting certain functions, or holding related transactions for review.

Suspended accounts cannot trade, create orders, list items, or use other Platform functions. Affected Users may contact staff to inquire about status and provide further explanation.

Users may request account closure provided there are no pending transactions or disputes, and any remaining balance has been withdrawn or settled.

22. Intellectual Property

The trademarks, logos, user interface, source code, and all Platform content are the intellectual property of the Company. They may not be reproduced, modified, or used without prior written permission.

Users grant the Company the right to use content they publish on the Platform, such as text, images, or item information, for the purposes of providing the service and the Platform's marketing.

Users will not infringe the copyright or intellectual property of others. In case of breach, the User accepts sole liability.

23. Indemnification

Where a User violates these Terms or causes damage to the Company or third parties, the User agrees to indemnify those directly affected.

Where any lawsuit or action causes the Company to become a party or to act under the order of a relevant authority due to a User's conduct, the User agrees to be liable to the Company for resulting costs, including but not limited to legal fees, court fees, fines, and other damages, whether direct or indirect.

24. No Warranty

The Platform is provided "as is" and "as available". The Company does not represent or warrant that:

• Use of the service will be secure, continuous, timely, or error-free
• The service will meet your requirements or expectations
• Errors or defects in the service will be corrected
• Traded accounts will not be suspended, reclaimed, or banned by the game developer or publisher

The Company disclaims all warranties, whether express or implied, to the fullest extent permitted by law. The service may be subject to limitations, delays, or problems arising from the use of the internet or electronic communications, for which the Company is not responsible.

25. Limitation of Liability

The Platform is provided "as is" and "as available" in the capacity of an intermediary. The Company does not warrant the quality, accuracy, or ownership of items, and is not liable for damage arising from:

• The conduct of the other User
• The quality or condition of items
• Account suspension by a game provider
• Transactions conducted off the Platform
• Force majeure or events beyond the Company's control

To the extent permitted by law, the Company's liability (if any) is limited to no more than the fees the Company received from the disputed transaction. The Company is not liable for indirect, special, incidental, or punitive damages, including loss of revenue, profit, business opportunity, or data.

26. Personal Data

The Company is committed to protecting your personal data under the Personal Data Protection Act B.E. 2562 (PDPA). See the Privacy Policy for details, which forms part of these Terms.

The Company may access Chat, Order, and payment records to ensure compliance with these Terms, resolve disputes, prevent fraud, and comply with the law.

27. Governing Law

These Terms are governed by and construed under the laws of the Kingdom of Thailand. Any dispute arising shall be subject to the jurisdiction of the Thai courts.

28. Changes to These Terms

The Company may update these Terms from time to time. Material changes will be notified in advance via the Platform. Continued use after changes constitutes acceptance of the revised Terms.
